By accessing or using the services provided by Easybrise LLC ("Easybrise," "we," "us," or "our") through our website at easybrise.com or any related services, you agree to be bound by these Terms of Service ("Terms").

If you are using our services on behalf of a business or other legal entity, you represent that you have the authority to bind that entity to these Terms.

Easybrise provides business formation and compliance services, including but not limited to:

• US LLC and C-Corporation formation
• Registered agent services
• EIN (Employer Identification Number) application assistance
• Beneficial Ownership Information (BOI) filing
• Annual compliance and reporting services
• Virtual business address services
• Tax and accounting services

We act as a facilitator and filing service. We are not a law firm and do not provide legal advice. For legal matters, please consult a licensed attorney.

Easybrise LLC is an independent document filing service and is not a law firm, financial institution, or government agency.

Easybrise LLC is not a bank, payment processor, money transmitter, or financial institution. We do not hold client funds, process payments on behalf of clients, or provide banking services. All banking and payment services are provided directly by regulated third-party institutions such as Mercury, Stripe, and their partner banks.

To use certain services, you must create an account. You agree to:

• Provide accurate, current, and complete information
• Maintain and update your information as needed
• Keep your account credentials secure and confidential
• Notify us immediately of any unauthorized access
• Accept responsibility for all activities under your account

You agree to pay all fees associated with the services you select. Fees are displayed at checkout and may include:

• Service fees charged by Easybrise
• State filing fees (passed through at cost)
• Third-party fees (if applicable)

All fees are in US dollars. Payments are processed securely through our payment providers. Recurring services (such as registered agent) will renew automatically unless cancelled.

Payments for Easybrise services are processed securely by Stripe, our third-party payment processor. Easybrise does not store or directly handle card or banking information. All payment data is handled in accordance with Stripe's security and compliance standards.

Please refer to our Refund Policy for detailed information about cancellations and refunds. In general:

• Service fees may be refundable before work begins
• State filing fees are non-refundable once submitted
• Subscription services can be cancelled for future billing periods

You are responsible for:

• Providing accurate information for all filings
• Reviewing documents before we submit them
• Maintaining your business's ongoing compliance
• Responding to our requests for information in a timely manner
• Understanding and complying with applicable laws
• Ensuring that their business activities comply with the requirements of their chosen bank, payment processor, and applicable laws in their jurisdiction

All content on easybrise.com, including text, graphics, logos, and software, is the property of Easybrise LLC or our licensors and is protected by copyright and trademark laws.

You may not reproduce, distribute, or create derivative works without our express written permission.

To the maximum extent permitted by law, Easybrise LLC shall not be liable for:

• Indirect, incidental, special, or consequential damages
• Loss of profits, revenue, or business opportunities
• Damages arising from third-party actions (including state agencies)
• Delays caused by government processing times

Our total liability shall not exceed the amount you paid for the specific service giving rise to the claim.

You agree to indemnify and hold harmless Easybrise LLC, its officers, employees, and agents from any claims, damages, or expenses arising from your use of our services, your violation of these Terms, or your violation of any third-party rights.

We may suspend or terminate your access to our services if you violate these Terms or engage in fraudulent or illegal activity. You may close your account at any time by contacting us.

Upon termination, your right to use our services ends, but provisions that should survive (such as indemnification and limitation of liability) will remain in effect.

These Terms are governed by the laws of the State of Wyoming, without regard to conflict of law principles. Any disputes shall be resolved in the state or federal courts located in Wyoming.

We may update these Terms from time to time. We will notify you of material changes by email or by posting a notice on our website. Your continued use of our services after changes take effect constitutes acceptance of the updated Terms.

Easybrise does not guarantee approval for EIN issuance, bank account opening, payment processor activation, or any regulatory filing. Approvals are subject to review by the IRS, financial institutions, and compliance authorities.

All approvals and processing decisions are made solely by the relevant government agencies, financial institutions, or third-party providers.

Easybrise reserves the right to refuse, suspend, or terminate services for any business or individual engaged in illegal, fraudulent, or restricted activities. This includes but is not limited to activities related to money laundering, sanctioned industries, prohibited financial activities, or violations of applicable laws and regulations.

Easybrise shall not be liable for any delay or failure in performance resulting from causes beyond our reasonable control. These causes include but are not limited to natural disasters, government actions, regulatory changes, internet or system outages, labor disputes, or failures of third-party service providers.

Before initiating any legal action, both parties agree to attempt to resolve disputes through good faith negotiations. If a dispute cannot be resolved through negotiation, the parties agree to resolve disputes through binding arbitration in the State of Wyoming, in accordance with applicable arbitration laws.

By using our services, you consent to receive communications electronically, including agreements, notices, disclosures, compliance reminders, and service-related communications. Electronic communications satisfy any legal requirement that such communications be in writing.

Easybrise is not responsible for the policies, decisions, service availability, or actions of third-party providers including banks, payment processors, government agencies, registered agents, or external service partners. All third-party providers operate under their own terms and policies.

Easybrise does not guarantee availability or continued support from third-party service providers.

Clients who choose to open accounts with third-party providers (including but not limited to Mercury or Stripe) do so directly with those providers. Easybrise does not control account approval decisions, underwriting, compliance reviews, freezes, or closures. All such decisions are made solely by the respective financial institution under their regulatory obligations.

Easybrise LLC operates solely as a business formation and compliance service provider. We act as an independent service provider and are not affiliated with, endorsed by, or acting as an agent of Mercury, Stripe, or any banking partner.
