UAE Corporate Tax and Your US LLC — What Founders in Dubai and Abu Dhabi Actually Need to Know (2026)

    Aug 28, 2026

The UAE's reputation for zero personal tax leads a lot of founders to assume it extends automatically to a US LLC they run from Dubai or Abu Dhabi. It doesn't, entirely — the UAE introduced federal Corporate Tax in June 2023, and depending on how you operate, it can reach both you personally and, in some cases, the LLC itself.

This guide covers the UAE-side considerations that matter specifically because you're a resident there — not the LLC formation process itself, which our main formation guide already covers.

The Good News First: No FX Controls

Unlike some countries where outbound remittance is capped or requires central-bank reporting, the UAE places no restrictions on residents owning or funding a foreign business. You can move money to fund your US LLC, receive distributions back, and hold accounts in both places without a remittance ceiling or a mandatory reporting filing to a UAE regulator for the transaction itself. This is a genuinely simpler starting position than founders in more capital-controlled countries face.

Where it gets less simple is on the tax side.

The AED 1 Million Threshold: When It Reaches You Personally

UAE Corporate Tax applies the standard 0%/9% split (0% on the first AED 375,000 of taxable income, 9% above that) — but for natural persons specifically, it only applies at all once turnover from business activity conducted in the UAE exceeds AED 1,000,000 in a calendar year.

    A few things matter here:

    • This is a turnover threshold, not a profit threshold — it's based on gross revenue, not what's left after expenses.
    • Salary, personal investment income, and most personal real estate income don't count toward this threshold at all.
    • Below AED 1 million, there's no UAE Corporate Tax registration or filing obligation on your business activity, regardless of what your US LLC earns.

For a lot of solo founders — consultants, small SaaS products, early-stage agencies — this threshold simply isn't reached, at least not from UAE-sourced business activity specifically.

The Detail Most Guides Skip: Your LLC Itself Could Become a UAE Taxable Person

This is the part that catches founders off guard, because it's a separate mechanism from the personal threshold above. UAE Corporate Tax law treats a foreign juridical person as a UAE resident person if it is "effectively managed and controlled" in the UAE — sometimes referred to as a place-of-effective-management (POEM) test.

In plain terms: if you're the sole decision-maker for your US LLC, and every real decision — strategy, contracts, day-to-day management — happens from your desk in Dubai, there's a real argument that the LLC itself is "effectively managed and controlled" in the UAE, independent of the personal AED 1 million threshold. If that applies, the LLC could be treated as a UAE resident taxable person on its worldwide business income, not just UAE-sourced income.

This is a genuinely fact-specific determination — it depends on where decisions are actually made, not just where you happen to live, and it's an area where UAE tax guidance and practice are still maturing. It's worth a direct conversation with a UAE tax advisor about your specific setup rather than assuming either "I'm not incorporated here, so it doesn't apply" or "I'm over the threshold, so it definitely does."

Small Business Relief: The AED 3 Million Escape Hatch

If you are within scope of UAE Corporate Tax (either as a natural person over the AED 1 million threshold, or a foreign entity found to be effectively managed in the UAE), there's meaningful relief available: Small Business Relief lets an eligible resident person with revenue at or below AED 3,000,000 (in the current period and all prior periods) elect to be treated as having no taxable income for that period — effectively zero Corporate Tax, without needing to fall below the AED 1 million activity threshold in the first place.

One important caveat: this relief is currently available only for tax periods ending on or before December 31, 2026, unless extended. Confirm its status directly with the FTA or a UAE tax advisor rather than assuming it continues automatically past that date.

    No US-UAE Tax Treaty

Unlike many of the countries EasyBrise's other guides cover, there is no income tax treaty between the US and the UAE. In practice, this matters less than it might for a resident of a higher-tax country, since the UAE itself doesn't tax personal income and its corporate tax only bites in the specific scenarios above — but it does mean you can't rely on treaty relief mechanisms (reduced withholding rates, tie-breaker residency rules) that founders from treaty countries sometimes use. Your position rests entirely on how the US and UAE frameworks independently apply, not on a coordinating treaty between them.

    Registration Deadlines and Penalties

If you do fall into scope:

    • Foreign entities effectively managed in the UAE: registration due within 3 months of the financial year end.
    • Natural persons crossing the AED 1 million threshold: registration deadline is March 31 of the following year.
    • Missing the deadline triggers an automatic AED 10,000 penalty — but the FTA introduced a waiver (effective April 2025, applied retroactively to June 2023) that automatically forgives this penalty if you file your first Corporate Tax return within 7 months of your first tax period's end, without needing a separate application.

    Common Mistakes

    • Assuming "UAE = zero tax" extends automatically to a US LLC you actively manage from Dubai. It doesn't — the effectively-managed-and-controlled test exists specifically for this scenario.
    • Only checking the personal AED 1 million threshold and ignoring the entity-level POEM question. These are two separate mechanisms; clearing one doesn't clear the other.
    • Assuming the US-UAE gap is covered by a treaty. There isn't one — plan around the absence rather than assuming relief that doesn't exist.
    • Missing UAE registration and assuming the standard AED 10,000 penalty is unavoidable. The FTA's waiver initiative can forgive it if you file promptly once you realize you're in scope — worth acting on rather than assuming the penalty is locked in.

    Frequently Asked Questions

I run a small US LLC from Dubai with revenue well under AED 1 million. Do I need to worry about any of this?

Generally no on the personal threshold — below AED 1 million in UAE-conducted business turnover, there's no natural-person Corporate Tax registration obligation. The entity-level "effectively managed and controlled" question is a separate, more fact-specific issue worth a quick check with an advisor if your LLC is your primary, actively-managed business.

Does UAE Corporate Tax replace my US federal filing obligations for the LLC?

No — they're entirely separate systems. Your foreign-owned single-member LLC's Form 5472 and pro forma Form 1120 obligation to the IRS applies regardless of what UAE Corporate Tax does or doesn't apply to you.

Is Small Business Relief automatic, or do I have to elect it?

It's an election, not automatic — an eligible resident person actively elects Small Business Relief when filing, and needs to stay under the AED 3 million revenue ceiling in the current and all prior periods to qualify.

What does "effectively managed and controlled" actually turn on?

Broadly, where real decision-making authority sits — not your citizenship, not where the LLC is legally formed, and not necessarily just where you're physically present. It's a facts-and-circumstances test, which is exactly why it's worth professional input for an actively-run LLC rather than a rule of thumb.
